1. Agreement
These Terms govern access to and use of Managing Analyst (the "Service"). By using the Service you agree to them on behalf of your organization and represent you are authorized to do so.
2. Accounts & organizations
You are responsible for the accuracy of account information, for activity under your credentials, and for managing your organization's members and their access. Administrators control who may access which funds and portfolio companies.
3. Acceptable use
Do not misuse the Service: no unlawful activity, no attempts to breach security or access another organization's data, and no uploading of content you lack the right to use.
4. The Service is a tool, not professional advice
Managing Analyst is not a law firm, accounting firm, auditor, or financial or legal advisor, and does not provide legal, tax, accounting, or investment advice. Its features — obligation and covenant tracking, document extraction, and adjusted-EBITDA analysis — are assistive: AI proposes, and a human confirms every result. The outputs are for your internal use and decision-making. You remain solely responsible for confirming what is tracked, for the figures and definitions you rely on, and for meeting your legal, reporting, and contractual obligations.
5. Customer content
You retain all rights to the content you submit. You grant us the limited rights needed to host and process it to provide the Service. You are responsible for having the right to upload your content, including confidential credit agreements and financial records.
6. Availability, early access & changes
The Service is provided during early access and may change. We may modify features and these Terms; material changes will be posted with a revised date.
7. Disclaimers & limitation of liability
The Service is provided on an "as is" and "as available" basis without warranties to the fullest extent permitted by law. To the maximum extent permitted, we are not liable for indirect or consequential damages, and our aggregate liability is limited as set out in your order or executed agreement.
8. Termination
Either party may terminate as described in the applicable order or agreement. On termination you may export your data for a limited period, after which it is deleted per our Privacy Policy.
