Post-close monitoring — for teams living under a credit agreement.

Most software assumes there's a compliance desk tracking covenants and a finance team defending every adjusted-EBITDA number to the lender. For independent sponsors, search funds, and portfolio-company finance teams, there often isn't — it's all you. The credit agreement's obligations live in someone's head until a deadline is missed, and covenant EBITDA gets rebuilt in a spreadsheet every quarter, argued over, and forgotten.

What we believe

Knowing what you owe the lender, being able to prove the number your covenant is tested on, and knowing what you can actually take out of the company are the same job — they should share one system, driven by the same documents. An obligation should never exist without the clause it came from. An adjusted-EBITDA figure should be a bridge you can recompute from the general ledger, with every cap and time limit applied as written. And a sponsor fee or distribution should be checked against the covenant and the basket before it's taken — not a number to take on faith.

How we build

The parts of the product where compliance can go wrong are deliberately conservative. AI proposes and a human confirms; nothing is marked satisfied or breached automatically, no addback is counted until you accept it, and every obligation carries its verbatim citation. Adjusted EBITDA is conservative by default — discretionary addbacks are flagged, not counted — and each governing document gets its own number rather than one blended figure.
